Terms of Service

These Terms of Service ("Terms") govern your access to and use of the HiProSEO service (the "Service") provided by Main Edge, LLC ("we", "us", "our"), an Oklahoma limited liability company with its principal place of business at 160 N Morgan Rd, Mustang, OK 73064, United States. By creating an account or otherwise using the Service, you ("you", "Customer") agree to be bound by these Terms.

1. Account & eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

2. Acceptable use

You agree not to:

  • Use the Service to violate any law or regulation.
  • Crawl, audit, or track properties you do not own or for which you do not have the property owner's written permission.
  • Probe, scan, or attempt to circumvent the Service's security controls.
  • Use the Service to generate spam, malware, or material that infringes intellectual property rights.
  • Reverse-engineer or resell the Service except as expressly permitted by your subscription plan.

3. Subscription & billing

The Service is offered on a recurring monthly or annual subscription basis. Fees are charged in advance through our payment processor (Stripe) and are non-refundable except as described in Section 4. You authorize us to charge your chosen payment method on each renewal date until you cancel.

4. Refunds

We offer a 7-day money-back guarantee from the date of your first charge on a paid plan. To request a refund, email support@hiproseo.com within 7 days. Refunds on renewals, upgrades, or after the 7-day window are at our sole discretion.

5. Cancellation

You may cancel your subscription at any time through the Stripe Customer Portal accessible from your account. Cancellation takes effect at the end of the current paid period; you retain access until that date.

6. Service availability

We use commercially reasonable efforts to keep the Service available. The Starter plan is provided without any uptime guarantee or SLA. SLA terms for Pro, Agency, and Enterprise plans, if any, are described in your order form or plan documentation.

7. Customer data & ownership

You retain all rights to data you submit to or generate through the Service ("Customer Data"). You grant us a worldwide, non-exclusive, royalty-free license to use Customer Data solely to provide and improve the Service. We will not sell Customer Data and will not share it with third parties except as described in the Privacy Policy.

8. Termination

We may suspend or terminate your account for material breach of these Terms (including non-payment) with reasonable notice where practicable. Upon termination, your right to use the Service ends immediately; data retention is governed by our Privacy Policy.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MAIN EDGE, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Governing law

These Terms are governed by the laws of the State of Oklahoma, United States, without regard to its conflict of laws principles.

12. Dispute resolution & arbitration

Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration will take place in Oklahoma County, Oklahoma, USA. You and we waive any right to a jury trial and to participate in a class action.

13. Changes

We may update these Terms from time to time. If a change is material, we'll notify you by email or in-app at least 14 days before the change takes effect. Continued use of the Service after the effective date constitutes acceptance.
